At the time you incorporated you were by statement in your articles or by state statute default allowed so many shares of stock to issue without further approval from the state. If you need more shares to issue you would have to go back to the state with some form that would be listed on the state of Delaware Secretary of State website. Yes, it would also be a good idea to have stockholder and board meetings to approve the issue although in most states it probably isn't actually necessary.
