Default International?

Hi Everyone,

For the last several years my *ideal* dream business has been forming in my head. The business is one that is needed, and would benefit many people.

The reason I have not started to pursue the business is because where I want to start it is across the border. This business will not work here (it is specialized to the location) so I have had the details slowing forming in my mind but not actively.

Anyway, lately I have seen several request from people looking for exactly the service I want to provide, in the exact location I am aiming for. (I told you it was in demand ) Since this idea started forming in my mind I have stayed somewhat interested in the area watching for trends / needs / changes etc. Now that there is an active demand for this service, how do I get the idea moving before someone else figures it out?

So, does anyone have experience setting up a business in another country? Or can anyone direct me to some information or resources that may be of assistance?

Setting up a company in the US is possible for a non-US citizen. You have to have a registered agent in the State that you incorporate the business in. You have to get some extra documentation from the IRS as well something like a Tax Identification Number. Nevada and Delaware are thought to be the most favourable to incorporate a LLC corporation. Try doing a search for business incorporation or business formation USA and you will find several companies that specialize in this. There is one company called International Business Formation that has a lot of information on business formation in USA and internationally.

Hi,
Thanks for the reply. I am already incorporated in the US, so that is not a problem.

I guess what I am looking for are the legal issues that surround setting up shop. Just because I am incorporated in the US doesn't mean I can march in and take over. I still have to follow the rules, obtain visas, business licences etc.

I am going to take a look into the company you mentioned. Thanks.

If you are just selling into the US into other states then it is OK to do so from your incorporated office. If you want to setup a shop eg hire employees etc then you have to have a special foreign state license in each of the states . I think it is the same in Canada. The company I mentioned is mainly for business formation, however, they will help inobtaining non-US citizen tax numbers/social insurance number/filing paperwork for setting up business/office in different states. On the other issues, like visas, it may be wise to contact US lawyers that specialize in this field.

I have started a number of businesses in foreign countries and the best thing you could do is to contact their embassies for more information. Another good place for information is your embassy in the country where you would like to set up the company.
